1. What does this Terms of Service cover?

Deleg8 ("the Service" or "the Website") is provided by Deleg8 Technologies ("we", "us", or "our"). The following terms and conditions govern all use of the Deleg8 website and all content, services, and products available at or through the website. The Website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, Deleg8's Privacy Policy) and procedures that may be published from time to time on this Site by Us (collectively, the "Agreement"). Please read this Agreement carefully before accessing or using the Website. By accessing or using any part of the website, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services. The Website is available only to individuals who are at least 13 years old.

2. Access to your Deleg8 Account

Subject to the terms and conditions of this Agreement, the Service is solely for User's personal and professional use. This Agreement sets forth certain terms and conditions that apply to all Users. We may change, suspend, or discontinue the Services at any time, including the availability of any feature, database, or content. We may also impose limits on certain features and services or restrict User's access to parts or all of the Services without notice or liability. User certifies to us that if User is an individual (i.e., not a corporation), User is at least 13 years of age. User also certifies that it is legally permitted to use the Service and takes full responsibility for the selection and use of the Service. This Agreement is void where prohibited by law, and the right to access the Service is revoked in such jurisdictions.

3. Restrictions

User shall not, nor permit anyone else to, directly or indirectly: (i) reverse engineer, disassemble, decompile or otherwise attempt to discover the source code or underlying algorithms of all or any part of the Service; (ii) modify or create derivatives of any part of the Service; (iii) rent, lease, or use the Service for timesharing or service bureau purposes; or (iv) remove or obscure any proprietary notices on the Service. As between the parties, Deleg8 Technologies shall own all title, ownership rights, and intellectual property rights in and to the Service, and any copies or portions thereof.

4. Fees and Payment

Optional paid services (for example, premium subscriptions) are available on the Website. By selecting a paid service, you agree to pay Deleg8 the subscription fees indicated for that service. Payments will be charged on the day you sign up for a paid service and will cover the use of that service for a monthly or annual period as indicated. Subscription fees are not refundable.

5. Registration; Security

As a condition to using certain aspects of the Service, User may be required to register with Deleg8 and select a password and username. Deleg8 reserves the right to refuse registration or cancel an account at its discretion. User shall be responsible for maintaining the confidentiality of User's Deleg8 account.

6. Termination

Deleg8 may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Changes

The form and nature of the services that Deleg8 provides may change from time to time without prior notice to you. In addition, Deleg8 may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally and may not be able to provide you with prior notice.
